VendorStreet Terms

Platform terms and conditions for markets and vendors.

Welcome to VendorStreet. The Platform is operated by Ecropolis LLC, 8001 Valcasi Dr. Ste 101, Arlington, TX 76001, USA (“VendorStreet,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the VendorStreet platform, including all websites, applications, tools, and services provided by VendorStreet (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.


1. Overview of the Platform

VendorStreet is a marketplace management and vendor coordination platform designed to support:

  • Market Managers who organize, operate, and administer markets, events, or similar vendor-based programs.
  • Vendors who apply for, register for, and participate in markets or events managed through the Platform.

VendorStreet acts as a technology provider and does not operate markets directly, unless explicitly stated otherwise.


2. User Roles

2.1 Market Managers

A “Market Manager” is an individual or organization that creates, manages, or administers a market or event using VendorStreet.

Market Managers are responsible for:

  • Setting market rules, pricing, schedules, and participation requirements.
  • Approving or rejecting vendor applications.
  • Enforcing market policies, attendance rules, and penalties.
  • Ensuring compliance with all applicable local, state, and federal laws.

VendorStreet is not responsible for decisions made by Market Managers.

2.2 Vendors

A “Vendor” is an individual or business that applies to, registers for, or participates in a market or event through VendorStreet.

Vendors are responsible for:

  • Providing accurate business, licensing, and product information.
  • Complying with all market rules set by Market Managers.
  • Maintaining required permits, insurance, and tax compliance.
  • Fulfilling payment obligations related to market participation.

VendorStreet does not guarantee acceptance into any market.


3. Account Registration and Security

You must create an account to access certain features of the Platform.

You agree to:

  • Provide accurate and complete information.
  • Keep login credentials secure.
  • Promptly notify VendorStreet of unauthorized account use.

You are responsible for all activity conducted through your account.


4. Fees, Payments, and Subscriptions

4.1 Platform Fees

VendorStreet may charge:

  • Subscription fees.
  • Transaction fees.
  • Service or processing fees.

All fees will be disclosed prior to purchase or payment.

4.2 Market Fees

Market Managers may set their own:

  • Booth fees.
  • Application fees.
  • Penalties, discounts, or cutoff policies.

VendorStreet is not responsible for market-specific pricing decisions.

4.3 Payments

Payments may be processed through third-party payment processors. VendorStreet does not store full payment card details.

Refunds, if any, are governed by the applicable market’s policies unless otherwise stated.

4.4 Payment Processing (Stripe)

VendorStreet uses Stripe, Inc. (“Stripe”) and its affiliates to process payments on the Platform. Stripe is a third-party payment processor and is not owned or controlled by VendorStreet.

By making or receiving payments through the Platform, you agree to be bound by:

  • Stripe’s Services Agreement
  • Stripe’s Connected Account Agreement (if applicable)
  • Stripe’s Privacy Policy

These agreements are incorporated by reference and may be updated by Stripe from time to time.

4.5 Stripe Accounts

Depending on your role and the features enabled:

  • Market Managers may be required to connect a Stripe account to receive vendor payments or manage payouts.
  • Vendors may be required to provide payment information to pay market fees or, where applicable, receive refunds.

You authorize VendorStreet to:

  • Create and manage Stripe accounts on your behalf where required.
  • Share necessary account, identity, and transaction data with Stripe for payment processing, compliance, fraud prevention, and regulatory purposes.

4.6 Fees, Charges, and Payouts

Stripe may charge processing fees, which may be:

  • Passed through to users.
  • Included in Platform fees.
  • Separately disclosed at the time of payment.

VendorStreet does not control Stripe’s fees, payout schedules, reserve requirements, chargebacks, or compliance reviews.

Payout timing and availability are determined by Stripe and may be affected by:

  • Verification status.
  • Transaction volume.
  • Chargebacks or disputes.
  • Regulatory requirements.

4.7 Chargebacks and Disputes

All payment disputes, chargebacks, or reversals are handled through Stripe.

You acknowledge that:

  • VendorStreet is not responsible for chargebacks or disputed transactions.
  • Stripe may deduct disputed amounts from future payouts.
  • You are responsible for responding to disputes in a timely manner through Stripe’s systems.

VendorStreet may provide limited administrative assistance but does not guarantee dispute outcomes.

4.8 Payment Compliance and Restrictions

You agree not to use the Platform or Stripe services for:

  • Illegal goods or services.
  • Prohibited or restricted products under Stripe’s policies.
  • Fraudulent, misleading, or deceptive transactions.

VendorStreet reserves the right to suspend or terminate accounts that violate Stripe policies or applicable laws.

4.9 Limitation of Responsibility

VendorStreet is not a bank, money transmitter, or payment processor and does not hold funds on behalf of users.

VendorStreet is not responsible for:

  • Payment delays or failures caused by Stripe.
  • Account holds, reserves, or terminations imposed by Stripe.
  • Compliance actions taken by Stripe or financial institutions.

All payment services are provided by Stripe under their respective agreements.


5. Market Rules and Enforcement

Market Managers have full authority to:

  • Approve, suspend, or remove Vendors.
  • Enforce attendance, setup, teardown, and conduct rules.
  • Apply penalties or deny future participation.

VendorStreet does not arbitrate disputes between Vendors and Market Managers unless required by law.


6. Vendor Responsibilities

Vendors agree that they:

  • Sell only permitted and lawful products.
  • Accurately represent products, pricing, and business credentials.
  • Comply with health, safety, and labeling regulations.
  • Carry any required insurance or permits.

VendorStreet is not liable for vendor products, food safety, or regulatory compliance.


7. Market Manager Responsibilities

Market Managers agree that they:

  • Operate markets lawfully and fairly.
  • Communicate rules clearly to Vendors.
  • Handle vendor disputes in good faith.
  • Maintain required permits, insurance, and venue agreements.

VendorStreet does not verify the legality or quality of any market.


8. Prohibited Conduct

You may not:

  • Use the Platform for unlawful purposes.
  • Misrepresent your identity or business.
  • Interfere with Platform functionality.
  • Scrape, reverse-engineer, or exploit Platform data.
  • Harass, abuse, or discriminate against other users.

VendorStreet reserves the right to suspend or terminate accounts for violations.


9. Intellectual Property

All Platform content, software, and branding are owned by VendorStreet or its licensors.

You may not copy, distribute, or modify Platform content without permission.

You retain ownership of content you submit but grant VendorStreet a license to use it for Platform operations.


10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

VendorStreet makes no warranties regarding:

  • Market outcomes.
  • Vendor sales or profits.
  • Acceptance into markets.
  • Availability or uptime.

Use of the Platform is at your own risk.


11. Limitation of Liability

To the maximum extent permitted by law, VendorStreet shall not be liable for:

  • Lost profits or revenues.
  • Business interruption.
  • Vendor or Market Manager disputes.
  • Personal injury or property damage occurring at markets.

VendorStreet’s total liability shall not exceed the fees paid to VendorStreet in the prior 12 months.


12. Indemnification

You agree to indemnify and hold harmless VendorStreet from claims arising out of:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your market operations or vendor activities.

13. Termination

VendorStreet may suspend or terminate your account at any time for violations of these Terms.

You may stop using the Platform at any time, subject to outstanding payment obligations.


14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
